1. Introduction

These Terms of Service ("Terms") govern your use of the BuildFlux website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

BuildFlux ("we," "our," or "us") provides automation and systems engineering services for professional service firms, including tax advisory, legal practices, compliance consultancies, and related industries.

2. Services Overview

Our services include:

  • Process & Automation Diagnostic: A comprehensive assessment of your firm's operations to identify automation opportunities and inefficiencies.
  • Implementation Sprints: Focused engagements to build and deploy automation solutions based on diagnostic findings.
  • Stewardship: Ongoing support, maintenance, and optimization of implemented systems.

Specific terms for each service type are detailed in individual service agreements executed between BuildFlux and the client.

3. Engagement Process

All new client relationships begin with a Process & Automation Diagnostic. This phase is required before any implementation work can commence. The diagnostic allows us to understand your operations and ensures that any proposed solutions are tailored to your specific needs.

Following the diagnostic, we provide a detailed report with findings and recommendations. Implementation work, if desired, proceeds under a separate service agreement.

4. Client Responsibilities

To ensure successful engagements, clients agree to:

  • Provide accurate and complete information about their operations
  • Grant reasonable access to systems, personnel, and documentation as needed
  • Designate a primary point of contact for the engagement
  • Respond to requests and provide feedback in a timely manner
  • Ensure appropriate internal stakeholders are available for scheduled meetings
  • Maintain confidentiality of any proprietary methodologies shared during engagements

5. Intellectual Property

Client Deliverables

Upon full payment, clients receive ownership of all custom systems, workflows, documentation, and deliverables created specifically for their engagement. This includes custom code, configurations, and process documentation tailored to the client's operations.

BuildFlux Property

BuildFlux retains all rights to general methodologies, frameworks, tools, templates, and know-how developed independently or used across multiple engagements. We may use anonymized insights and learnings from engagements to improve our services for all clients.

Third-Party Tools

Some solutions may incorporate third-party software or services. Use of such tools is subject to their respective license terms. BuildFlux will clearly identify any third-party components and associated licensing requirements.

6. Payment Terms

Payment terms are specified in individual service agreements. Our standard terms are:

  • Diagnostic: Full payment due upon engagement commencement
  • Implementation Sprints: Payment follows milestone schedules as defined in the service agreement
  • Stewardship: Monthly fees billed in advance

Invoices are due within 14 days of issuance unless otherwise specified. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. Confidential information includes business processes, financial data, client lists, technical specifications, and any information marked as confidential.

Confidentiality obligations do not apply to information that: (a) is publicly available; (b) was known prior to disclosure; (c) is independently developed; or (d) is required to be disclosed by law.

8. Warranties and Disclaimers

BuildFlux warrants that services will be performed in a professional manner consistent with industry standards. We do not guarantee specific business outcomes, as results depend on many factors beyond our control, including client implementation and market conditions.

EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS." WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDFLUX'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE FEES PAID BY THE CLIENT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL BUILDFLUX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify and hold harmless BuildFlux, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of any law or third-party rights; or (c) your use of our services in a manner not authorized by these Terms.

11. Termination

Either party may terminate an engagement for cause if the other party materially breaches these Terms or the applicable service agreement and fails to cure such breach within 30 days of written notice.

Upon termination: (a) all outstanding payments become immediately due; (b) each party shall return or destroy confidential information of the other; (c) client shall receive all completed deliverables for which payment has been made.

12. Website Use

When using our website, you agree not to: (a) violate any applicable laws; (b) infringe on intellectual property rights; (c) transmit malicious code or interfere with website functionality; (d) attempt unauthorized access to our systems; or (e) use automated tools to scrape or collect data without permission.

13. Dispute Resolution

Any disputes arising from these Terms shall first be addressed through good-faith negotiation between the parties. If negotiation fails to resolve the dispute within 30 days, either party may pursue mediation before initiating any formal legal proceedings.

14. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any legal action shall be brought in courts of competent jurisdiction.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date." Your continued use of our services after changes constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.

17. Entire Agreement

These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and BuildFlux regarding the subject matter herein and supersede all prior communications and proposals.
